1. Acceptance of Terms

By accessing or using Strike Finance ("Platform", "we", "us", or "our"), including any associated websites, APIs, or mobile applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Strike Finance. We reserve the right to modify these Terms at any time. Your continued use of the Platform following any changes constitutes acceptance of the modified Terms.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be a resident of, or accessing the Platform from, any Restricted Jurisdiction
  • Not be subject to any sanctions administered by OFAC, the UN, EU, or any other applicable authority
  • Comply with all applicable laws and regulations in your jurisdiction

Restricted Jurisdictions: The Platform is not available to residents of or persons located in Restricted Jurisdictions. Please refer to our Restricted Persons page for a complete list of restricted jurisdictions.

3. Description of Services

Strike Finance is a decentralized, on-chain perpetual futures trading platform that enables users to trade perpetual contracts on various digital assets with leverage. The Platform operates through smart contracts deployed on blockchain networks.

Our services include, but are not limited to:

  • Perpetual futures trading with leverage up to 100x
  • On-chain order execution and settlement
  • Staking and liquidity provision mechanisms
  • Portfolio management and position tracking

4. Risk Disclosure

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

Trading perpetual futures and digital assets involves substantial risk of loss and is not suitable for all investors. You should carefully consider whether trading is appropriate for you in light of your financial condition.

By using the Platform, you acknowledge and accept the following risks:

  • Leverage Risk: Trading with leverage amplifies both potential gains and losses. You may lose more than your initial margin deposit.
  • Liquidation Risk: Positions may be liquidated automatically if your margin falls below maintenance requirements. Liquidation can result in total loss of your deposited funds.
  • Market Volatility: Digital asset prices are highly volatile and can change rapidly. Past performance is not indicative of future results.
  • Smart Contract Risk: The Platform operates through smart contracts which may contain bugs, vulnerabilities, or be subject to exploits despite security audits.
  • Blockchain Risk: Transactions are subject to blockchain network conditions including congestion, delays, and potential network failures.
  • Regulatory Risk: The regulatory status of digital assets and derivatives may change, potentially affecting your ability to use the Platform.
  • Counterparty Risk: While the Platform is non-custodial, you may be exposed to risks from other market participants and liquidity providers.

5. User Responsibilities

As a user of the Platform, you are solely responsible for:

  • Maintaining the security of your wallet and private keys
  • All trading decisions and transactions made through your wallet
  • Understanding the mechanics of perpetual futures trading and leverage
  • Monitoring your positions and margin requirements
  • Ensuring compliance with all applicable laws in your jurisdiction
  • Reporting and paying any applicable taxes on your trading activities
  • Conducting your own research before making any trading decisions

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Market manipulation, including wash trading, spoofing, or layering
  • Using the Platform to launder money or finance illegal activities
  • Circumventing geographic restrictions or misrepresenting your location
  • Exploiting bugs, vulnerabilities, or errors in the Platform
  • Interfering with or disrupting the Platform's operation
  • Using automated systems or bots in violation of our policies
  • Attempting to gain unauthorized access to the Platform or other users' accounts
  • Any activity that violates applicable laws or regulations

7. Fees and Transactions

Trading on the Platform is subject to fees, including but not limited to trading fees, funding rates, and blockchain network fees (gas). Fee schedules are published on our documentation and may be updated from time to time.

All transactions on the Platform are final and irreversible once confirmed on the blockchain. You are responsible for verifying all transaction details before confirmation. We are not responsible for losses resulting from user error, including incorrect addresses or amounts.

8. No Investment Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. All information provided is for informational purposes only. You should consult with qualified professionals before making any financial decisions.

We do not recommend or endorse any specific digital assets, trading strategies, or investment decisions. Any market data, analytics, or tools provided are for informational purposes only and should not be relied upon as the sole basis for trading decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRIKE FINANCE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT OF FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Indemnification

You agree to indemnify, defend, and hold harmless Strike Finance and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; or (d) your violation of any rights of a third party.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of a mutually agreed arbitration body. The arbitration shall be conducted in English.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions or class-wide arbitration.

13. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by or licensed to Strike Finance. You may not copy, reproduce, distribute, or create derivative works without our prior written consent. Your use of the Platform does not grant you any ownership rights in our intellectual property.

14. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, you must cease all use of the Platform. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to limitation of liability, indemnification, and dispute resolution provisions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law provisions. Strike Finance is registered and licensed in Dubai. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or other appropriate channels. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
